“My Story is My Own”
Online Writing Class: TERMS OF AGREEMENT

 

This Agreement (the “Agreement”) is binding and effective as of the date above between Red Arrow Media, LLC (“Instructor”), and Student (“Student”), with respect to “My Story is My Own” Online Writing Class.

 

In consideration of the premises set forth below, and other good and valuable consideration the receipt of which is hereby acknowledged, Instructor and Student mutually agree as follows:

 

A.   SCHEDULE/MATERIAL.

  1. COURSE. The scheduled commencement date for “My Story is My Own” Online Writing Course is the date of purchase; the scheduled end date is six month from the date of purchase.

  2. MATERIAL. Student should submit his or her Work, notes, manuscript and any other Material intended for Instructor no later than 1 month after the commencement of the class to ([email protected]).

  3. INSTRUCTOR AVAILABILITY. Instructor will be available to communicate with Student in a timely manner in lieu of Course Inclusions listed below in C1-4. Instructor will not, however, be available to continue to communicate with Student after Student has completed the Course.


B.    RETAINED RIGHTS. Student retains any and all rights to his or her Work, notes, manuscript and any other Material submitted to Instructor for Course. 


C.    STUDENT WARRANTIES. Student represents and warrants that:

  1. He or she is at least 18 years of age and full rights and permissions to purchase this Course. If Student is below 18 years of age, he or she has requested official written permission of Parent(s) and/or Guardian and has already submitted this to ([email protected]) and received acknowledgment of this permission from Instructor.

  2. Any material submitted to Instructor on behalf of the Student for the class, in whole or in part, has not been published in any form and is not in the public domain.

  3. Material and related content (including photos) delivered by Student is innocent and contains no matter which is libelous or unlawful, or that infringes any copyright or other proprietary right, or any personal right of privacy or publicity; and if Material is not a work of fiction, all statements in Material asserted as facts are true and based upon reasonable research for accuracy. No recipe, formula, instruction, or advice contained in Material, if followed or implemented by any persons, will cause loss, damage, or injury to them or any other persons or property.

  4. Student owns or has acquired all rights to Material, including the rights from other contributors, has full power to make this Agreement, and there have been no previous assignments, liens, or promises to others, which may affect the Material. Student agrees to retain a copy of all Material submitted to Instructor and agrees Instructor will not be liable for any loss of Manuscript, Illustrations, or other materials submitted by Author.  


D. COURSE INCLUSIONS. Student has elected to engage Instructor in the following ways:

  1. ADVANCED FULL MANUSCRIPT REVIEW. Instructor will read up to 50,000 words of Student Material and write a thorough review of the Material’s strength and weaknesses, and analyze potential for the publishing world at large.

  2. 4 WEBINAR CLASSES.
    a. Class 1
    “The Basics of Book Writing” with Vanessa J. Chandler (1.5 hours with .5 hour of Questions/Answers)
    b. Class 2
    “The Ethics of Heart & Writing” with Vanessa J. Chandler (1.5 hours with .5 hour of Questions/Answers)
    c. Class 3
    “The Breadth of the Publishing World” with Vanessa J. Chandler (1.5 hours with .5 hour of Questions/Answers)
    d. Class 4
    “Organization of Content & Strategy” with Jennifer Westbrook (1.5 hours with .5 hour of Questions/Answers)

  3. CONSULTATION. Student may choose to meet with Instructor to review his or her Full Manuscript Review and discuss: a. Ghost-writing, Writing, Content Development or Publishing with Vanessa J. Chandler
    b. Copy-Editing and Organization of Content with Jennifer Westbrook.

  4. 10 HOURS CONTENT DEVELOPMENT.
    a. Instructor will provide 10 hours of Content Development feedback on Material of Student. (Content Development or Developmental Editing is defined as providing guidance and notes on the structure and content of Material.)


E.    GOOD FAITH/TERMINATION. 

  1. Instructor and Student will work in Good Faith so that Student may complete the Course successfully.

  2. Instructor may terminate this Agreement by written notice to Student if: (i) Student fails to submit the necessary material, notes, manuscript or other material by the commencement of the Course, and/or in any other way infringes on the ability of Instructor to complete tasks. (ii) Student fails to meet Course deadlines established in A1 (above).(iii) Student fails to make payment in full according to the deadline established below in F. (iv) Student otherwise fails to comply with this Agreement. Upon such termination, there will be no refund of monies and Student releases Instructor from any further obligations or claims that may arise from this Agreement.

  3. If Instructor (in its sole discretion) determines not to accept the Student for the Course and Student has complied in full with this Agreement, Instructor will provide written notice to Student and all monies paid for the Course will be returned to Student.  


F.   PAYMENT.

Student shall pay to Instructor $4,497.00 (or a 5% reduction for the total amount of $4,272.00 if Student has signed up for My Story is My Own's Newsletter ), not including credit card fees, for those Services listed in C1-4 and no other Services or obligations. Student agrees that payment for this Course is non-refundable.

 

G.   SUCCESS. Instructor, despite best efforts, cannot guarantee the success of Student or guarantee future author, writing or publishing opportunity for Student.          

       

H.   GOVERNING LAW. This Agreement will, regardless of the places of physical execution, be interpreted and construed according to and under the laws and statutes of the State of California.


I.     CONFIDENTIAL MATTER. The terms of this Agreement and other matter relating to this Agreement (collectively, the “Confidential Matter”) are private and confidential between the parties. The parties shall hold the Confidential Matter in trust and confidence and shall not disclose or use the Confidential Matter at any time except to fulfill the duties under this Agreement or to provide to necessary business-related third parties such as tax preparers, accountants, and legal or financial advisors.

IN WITNESS WHEREOF, the parties hereto have duly executed this Agreement effective the day and year of payment and submission of this Agreement to “My Story is My Own.”
